1. Purpose
These terms and conditions of sale (the "Terms") define the conditions under which Kévin Geiger, trading as Dot Perfect (the "Publisher"), provides access to the Rank Your Local platform, dedicated to managing and optimizing a business's local visibility on Google, including tracking, publishing, review replies, competitor analysis and Google Business Profile connection features.
2. Scope
The Services are intended exclusively for professionals acting in the course of their business. By subscribing, the Customer declares that they are acting for professional purposes and have the capacity required to bind the organization they represent. These Terms are not addressed to consumers within the meaning of consumer law.
The Terms prevail over any other Customer document, unless expressly agreed in writing by the Publisher. Any subscription to or use of the Services implies unreserved acceptance of them.
3. Description of the Services
Rank Your Local provides a SaaS application that enables, among other things:
- creating and administering a user account through Google sign-in;
- connecting and operating one or more Google Business Profile listings;
- tracking keywords, analytics and local performance;
- managing posts, AI-assisted writing and replies to customer reviews;
- local competitor analysis and listing audits;
- additional offerings or support services on request (done-for-you, agency).
The Publisher reserves the right to develop the Services at any time in order to improve them, provided that their general economy is not distorted.
4. Account creation and access
- Account creation and authentication are performed exclusively through Google sign-in (OAuth), the same flow being used to connect the Customer's Google Business Profile listing.
- The Customer must provide accurate, up-to-date and complete information when registering.
- The Customer undertakes to report without delay any unauthorized access to, or compromise of, their associated Google account.
- Access to listing management features requires connecting a Google Business Profile account, under the Customer's responsibility.
5. Plans, prices and quotes
The available plans (free, paid or on request), their features, limitations and prices are those displayed on the Pricing page at the time of subscription, or stated in a quote accepted by the Customer.
- A free plan is offered with functional and quantitative limitations.
- Paid plans may be monthly, yearly, or subject to a specific quote.
- Displayed prices are exclusive of tax; applicable VAT is added at invoicing.
- The Publisher may change its prices for the future. New prices do not apply retroactively to periods already paid for.
6. Payment and invoicing
Online payments are processed through the provider Stripe. The Customer agrees to comply with the payment provider's contractual terms applicable to the transaction.
- Payment is due according to the billing period chosen at subscription.
- Invoices are made available electronically.
- In the event of failed, refused or disputed payment, the Publisher may suspend access to the Services until the situation is resolved.
7. Trial, term, renewal and cancellation
A 14-day free trial may be offered on certain plans, managed through Stripe. Unless stated otherwise at subscription, subscriptions run for the period corresponding to the chosen billing frequency and renew automatically for successive periods of the same length.
- The Customer may stop automatic renewal at any time from the billing portal available in their "Billing" area.
- Cancellation takes effect at the end of the period already paid for, unless expressly stated otherwise.
- Except where mandatory law or a specific commercial commitment applies, no started period is refunded pro rata.
- The Publisher may terminate or suspend any account in the event of serious breach, fraudulent use, security violation or persistent non-payment.
8. Customer obligations
- use the Services in accordance with their purpose and with applicable regulations;
- not infringe third-party rights or divert the Services to unlawful or fraudulent ends;
- review the content, replies or posts generated through the platform before publishing them to their Google listing;
- hold the rights and authorizations required over the Google Business Profile listing and the content entrusted to the platform;
- cooperate in good faith with the Publisher in the event of an incident or security request.
9. Availability and support
The Services are provided in SaaS mode. The Publisher has a best-efforts obligation and makes reasonable efforts to ensure the platform's accessibility and proper operation. Temporary interruptions may occur, in particular for maintenance, security, service evolution, or failure of a third-party provider (Google, Stripe, Supabase, Vercel).

10. Intellectual property
The Publisher retains all rights to the platform, its architecture, interfaces, databases, software components, trademarks and own content. Subscribing to the Services transfers no ownership to the Customer.
The Customer retains their rights over the content and data they provide, subject to the rights strictly necessary to process them in order to deliver the Services.
11. Personal data and confidentiality
How personal data is processed is described in the Privacy policy. Each party further undertakes to preserve the confidentiality of the other party's sensitive information to which it may have access in the context of the Services.
12. Liability
The Publisher does not guarantee any specific increase in visibility, any given ranking, or any particular commercial or SEO outcome. The Services are management and optimization aids; they replace neither the Customer's judgment nor the compliance of the content they publish on their Google listing.
Except in the event of gross negligence, wilful misconduct, infringement of essential rights, or where mandatory law provides otherwise, the Publisher's total liability, all damages combined, is limited to the amount excluding tax actually paid by the Customer over the 12 months preceding the event giving rise to the damage.
Under no circumstances shall the Publisher be liable for indirect damages, loss of revenue, loss of opportunity, loss of data attributable to the Customer, damage to reputation, or consequences related to a third-party service (in particular Google).
13. Force majeure
Neither party may be held liable for a failure resulting from an event of force majeure within the meaning of French case law, or from any event reasonably beyond its control that prevents the normal performance of its obligations.
14. Changes to the Terms
The Publisher may amend these Terms at any time to reflect changes in the service, its offering or applicable regulations. The applicable version is the one in force at the date of subscription or renewal, unless a legal provision requires immediate application.
15. Governing law and disputes
These Terms are governed by French law. The parties will first seek an amicable solution in the event of a dispute. Failing an amicable agreement, express jurisdiction is granted to the courts within the jurisdiction of the Publisher's registered office, unless a mandatory rule provides otherwise.
